1. Acceptance of Terms
By engaging Archimedes Ledger (“we,” “our,” or “us”) for bookkeeping services, you (“client,” “you,” or “your”) agree to these Terms and Conditions. These Terms apply to all services provided unless otherwise agreed in writing.

2. Services Provided
We provide bookkeeping and related financial recordkeeping services including but not limited to:

Recording transactions

Bank reconciliations
-
Invoicing
-
Accounts payable/receivable tracking
-
Payroll preparation (if applicable)
-
Financial statement preparation (not CPA-certified)
We do not offer tax preparation or legal advice unless explicitly stated and licensed to do so.

3. Client Responsibilities
You agree to:

Provide accurate, complete, and timely financial information

Comply with all federal and Oregon state laws regarding business records

Inform us of any changes that may affect the bookkeeping process
Failure to provide necessary information in a timely manner may delay services or result in additional fees.

4. Fees and Payment Terms
Fees will be outlined in a separate service agreement or invoice. Payment is due [e.g., upon receipt/within 15 days]. Late payments may incur a [e.g., 1.5%] monthly finance charge.

5. Confidentiality
We take your privacy seriously. All client information is kept confidential and will not be disclosed to any third party without your consent, except as required by law.
We follow the Oregon Identity Theft Protection Act and implement reasonable safeguards to protect your data.

6. Data and Record Retention
We maintain records for the duration of our engagement. Upon termination, we will return all client-owned records. We recommend clients retain financial records for at least 7 years in accordance with IRS guidelines.

7. Limitation of Liability
Our liability is limited to the amount paid by you for the services rendered in the three (3) months prior to any claim. We are not liable for:

Errors due to incorrect information provided by you

Tax consequences from decisions made without our advice

Consequential or indirect damages
8. Termination
Either party may terminate the service agreement with 15 days’ written notice. All outstanding fees must be paid before the release of records.

9. Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved through mediation in Yamhill, Oregon. If unresolved, the dispute may proceed to binding arbitration under Oregon law.

10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Oregon.

11. Changes to Terms
We may update these Terms from time to time. You will be notified of material changes and continued use of services constitutes acceptance of those changes.
